Minutes of the SIA Open Board of Director’s Meeting Tuesday Feb. 14, 2023 9am held at 1991 W. Barefoot Pl. in the Driveway
Attending: Board members Matt Quickel, Steve Melchiori and John Lehnhardt. SIA Members: Doug Stanford and Mark Caskey
First Quarter Financial Update – spending is on track for the annual budget with $5646.34 spent or committed out of the annual budget of $22,050. All members have now pad their 2023 dues.
Stair replacement costs after hurricane Nicole – at the annual meeting in November $20,000 was approved from the reserve fund to rebuild all three stairs. With the help of several members donating time and expertise the total cost of the repairs was $3676.22, a savings of over $16,000 from the proposed allotment.
Discussion of proposed fence installations on beach paths at E. Pebble Path and E. Barefoot Pl. – it was moved, seconded and approved unanimously to move forward with fences along the south side of both the E. Pebble Path and E. Barefoot walkways to the beach with $2500 approved for each project.
Discussion of road grading and possible recurring semi-annual agreement with grading company – it appears folks were happy with the recent grading and the cost of $850 total. The grader recommended we not add additional material at this time as much of our drainage issues are related to buildup of material on the roads. He recommended grading every 6 months and assessment at the time of grading whether new material is needed at any areas of the streets. It was moved, seconded and approved unanimously to follow this recommendation and have the roads assessed and graded again in August.
Vote of ARC recommended approval of pool plan for 1861 E. Barefoot Pl. – per ARC recommendation, the approval of the pool, paver deck and fencing plan for 1861 E. Barefoot Pl was moved, seconded and unanimously passed.
Ongoing Lawsuit update – attending members asked for an update of the ongoing lawsuit. The lawsuit did not go to trial in September 2022 and is on hold as appeals are pending for a number of summary judgements in the case. For clarification, the lawsuit is against the SIA Board of Directors and the Association and specific individuals named, but not against all members of the Association per se. Our SIA Board liability insurance insures the SIA Board of Directors, not individuals in the Association, unless an individual in the Association is acting under the direction of the Board, such as on an appointed committee. Members acting on their own are not covered by SIA Board liability insurance.
Please note there has been no settlement of any kind in SIA’s aspect of the lawsuit and there has been no payment whatsoever to the plaintiff in the suit by SIA. If there were a proposed settlement that included a financial component from SIA, not covered by our liability insurer, this settlement would require a majority vote of the members of the Association to be accepted.
