MINUTES – OPEN SIA BOARD OF DIRECTORS MEETING
WHEN: MONDAY SEPTEMBER 22, 2025 AT 10AM
WHERE: IN THE DRIVEWAY AT 1991 W. BAREFOOT PL
Attending: Michael Flax – President, John Lehnhardt – Sec/Treas, Steve Melciori – Board member, and SIA members Ed Seemann and Eddie Dean
The meeting was called to order at 10:04 am.
- Financial Report – the fiscal year ends 9-30-25. Currently we are $14,614.14 under budget for the year with only two landscaping items outstanding…one moth mowing for $330 and the annual road vegetation trimming for about $1500. Current balance is $60,214.86 in our account.
- Change in yard waste removal by Waste Management – starting this coming week of Sept. 29, yard waste will be picked up by Waste Management in the new brown bins with the orange lid only. This could be a big issue for many of our members who have large amounts of yard waste weekly and usually have multiple bins out for pickup. President Flax obtained a bid of $630 from our mowing contractor North Pacific Landscaping (Javier) to do a weekly surplus yard waste pickup for the month of October. We have a surplus of about $1000 in our landscape budget. It was moved, seconded and approved unanimously to have Javier come each Saturday morning in October and pick up what ever yard waste was not removed by Waste Management for $630. We will then see how things have gone with this approach, discuss this with membership at the annual meeting Nov. 8 and decide at that time if this service is needed and wanted and whether to include it in our annual budget for next year.
Additionally, Waste Management is changing our recycling pickup day to Thursday. The yard waste and house trash will still be picked up on Friday.
- PLANNING DISCUSSION FOR THE ANNUAL MEETING NOVEMBER 8, 2025
Elections – Ed Seemann, the Nominating Committee Chair, submitted the committee’s approved ballot for the 2025-26 election of the SIA Board of Directors. The slate includes the five current members of the Board and no other candidates were nominated by other members or came forward to nominate themselves to fill the five Board seats. The 2025 version of state law 720 governing HOAs in section 720-306(9) states:
An election is not required unless more candidates are nominated than vacancies exist. If an election is not required because there are either an equal number or fewer qualified candidates than vacancies exist, and if nominations from the floor are not required pursuant to this section or the bylaws, write-in nominations are not permitted and such qualified candidates shall commence service on the board of directors, regardless of whether a quorum is attained at the annual meeting.
The Board was unaware of this option previously and since the nominating committee slate meets the criteria for our use of this option, it was moved, seconded and unanimously approved to take advantage of this option and simplify the annual meeting mailing and costs. Thus, there will be no ballot envelope to return in the annual mailing.
Due to another state law change, quorum for the meeting will be 30% of the members present in person or by proxy not 50% as previously required.
The meeting will be at 10am Sat. Nov. 8, 2025 in the driveway at 1995 W. Barefoot Pl. Light luncheon refreshments will be available.
The annual mailing will go out to all members listed mailing addresses the second week of October.
4. Other business
After the passing of Gene Etzel last year, the Etzel family inheriting the house at 1860 E. Barefoot Pl. is forming a trust and has applied for membership as the Barefoot Place Trust. Once the trust is legally formed and the application complete we will do the Board interview. The family has indicated it will not be renting it out.
The road contractor has requested additional funds above the original contract. The unsatisfactory condition of the roads and the belief that a contract is a contract lead to a motion, second and unanimous decision not to give additional funds to the contractor and to require him to come back and repair the areas that have already deteriorated after the repairs.
Flooding on the W. Shell cul de sac – President Flax continues to work with county officials to find solutions to the regular flooding that occurs in the West Shell cul de sac after heavy rains.
